Acceptance of Terms
By accessing or using Oselo Help Corp’s website and services (“Services”), you agree to be bound by these Terms of Service (“Terms”). These Terms form a legal agreement between you (“the user”) and Oselo Help Corp (“Oselo,” “we,” or “us”). If you do not agree with any part of these Terms, you should not use our Services. By using the Services on behalf of an organization or minor, you represent that you have the authority to bind that entity or are the legal guardian consenting for the minor.
Changes to Terms
Oselo Help Corp may update or modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website and updating the “Last Updated” date above. It is your responsibility to review these Terms periodically. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to any updated Terms, you should stop using the Services.
Scope of Services
Oselo Help Corp operates an online platform (oselohelp.com) that provides e-commerce services and facilitates donations for our programs and initiatives. This includes:
• An online store or registration system where you can purchase products (such as merchandise, event tickets, or program enrollments) and services related to our mission.
• A donation portal where users can contribute funds to support Oselo’s causes, charitable projects, and educational programs.
Our Services may also include information about and promotion of external camps and educational experiences (for example, space-related STEM camps in partnership with organizations like NASA). While we may help organize or facilitate these experiences, some portions of the camps or activities are operated by third parties (such as partner institutions or venue providers). Oselo’s role in such cases is to coordinate and promote these opportunities, and additional terms from those third parties may apply (see Disclaimers and Limitation of Liability below for more details on third-party services).
All Services provided by Oselo are subject to these Terms, as well as any additional guidelines or policies we may provide for specific programs (such as camp rules or donation guidelines). Our goal is to ensure a safe, enjoyable, and meaningful experience for all users, whether you are shopping in our online store, donating to a cause, or participating in an educational camp.
User Eligibility and Obligations
By using our Services, you agree that you meet the following eligibility requirements and obligations:
• Minimum Age: You must be at least 10 years old to use the Services. Users under the age of majority (typically 18 years in most jurisdictions) should only use the Services under the supervision of a parent or legal guardian. If you are a parent or guardian of a minor aged 10-17 using our Services (such as enrolling in a camp), you agree to supervise the minor’s use and be responsible for their compliance with these Terms.
• Account Information: When (or if) creating an account or providing information to Oselo (for example, during event enrollment, making a purchase, or donating), you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any login credentials, and for all activities that occur under your account. If you suspect unauthorized use of your account, you must notify us immediately.
• Lawful Use: You agree to use the Services only for lawful purposes and in accordance with these Terms. Prohibited activities include, but are not limited to: using the site to engage in fraud, harassment, or any illegal activity; attempting to interfere with or disrupt the website (e.g., by hacking or spreading malware); misrepresenting your identity; or violating any applicable local, state, national, or international law while using our Services.
• Respectful Conduct: You must treat other users, staff, and any community features with respect. Do not post or transmit any content that is abusive, defamatory, obscene, or otherwise objectionable (if such features like reviews or forums exist on our platform). We reserve the right to remove any content or terminate accounts that violate this obligation (see Termination section).
• Compliance with Additional Guidelines: Some of our Services (such as participating in a Space Camp or STEM program) may have additional rules or codes of conduct. You agree to abide by any such program-specific rules, which will be provided to you in advance. For example, if you attend an Oselo NASA STEM Camp, you must follow all safety instructions and rules set by both Oselo staff and the host facility (e.g., NASA’s Kennedy Space Center guidelines).
By fulfilling these obligations, you help us maintain a secure and positive environment. If you fail to meet the above requirements or breach any part of these Terms, we may take action including suspension or termination of your access to the Services (see Termination of Use below). You understand that you are responsible for any consequences arising from your violation of these Terms.
Purchases and Donations
When you make a purchase or donation through our Services, the following terms apply:
• Pricing and Product Information: All prices for products, event fees, or services are listed in the applicable currency (e.g., U.S. Dollars) and are subject to change. We strive to ensure that all product descriptions, images, and prices are accurate. However, in the event of an error (for example, a pricing mistake or typo), we reserve the right to correct it. If a correction affects your pending order, we will contact you with the updated information and you may choose to proceed with or cancel the order.
• Order Process: By placing an order for a product or enrolling in a program, you are making an offer to purchase the item or service. We reserve the right to accept or reject any order at our discretion. Confirmation of order receipt (such as an email receipt) does not signify acceptance of your order; we formally accept when we charge your payment method and/or provide the product or service. If we cannot fulfill an order (for example, if a product is out of stock or a program is full), we may cancel the order and issue a refund for any amount charged.
• Payment: Payments for purchases or donations must be made via the methods we provide (such as credit card, debit card, or designated payment processors). You agree to provide a valid payment method and authorize us (or our third-party payment processor) to charge the total amount due for your order or donation. All transactions are processed through secure third-party payment services (for example, Zeffy for donations, or standard e-commerce payment gateways). We do not store your full payment card details on our servers. Your use of any third-party payment service is subject to their terms and privacy policy as well.
• Donations: When you donate through our platform, you acknowledge that your donation is voluntary and is intended as a gift to support Oselo’s mission or specific campaigns we organize. Donations may be one-time or recurring (if that option is offered). We will provide you with a receipt or confirmation for your donation. At this time, Oselo Help Corp [is or is not] a registered nonprofit organization (please refer to our website for information on tax-deductibility of donations, if applicable). You agree not to attempt to exchange donations for any unauthorized benefit or engage in any fraudulent donation activity.
• Recurring Donations: If you choose to make a recurring (e.g., monthly) donation or installment payments for a program, you authorize Oselo or our payment processor to automatically charge your designated payment method at the agreed interval. You can cancel future recurring donations at any time by using the account settings or contacting us (cancellation of a recurring donation will stop future charges, but already-processed donations will not be refunded except as outlined in our Refund Policy below).
All purchases and donations are subject to our Refunds and Cancellations policy (see next section). If you have any issues with a transaction (such as suspecting an unauthorized charge or encountering an error during payment), please contact us promptly so we can assist in resolving the issue.
Refunds and Cancellations Policy
We want you to have confidence in using our Services, so we offer refunds and allow cancellations in accordance with the following guidelines (and as further detailed on our website for specific products or programs):
• Product Purchases: If you purchase physical products or merchandise from our online store, you may be entitled to cancel your order and/or return the product for a refund, subject to our return policy. Our standard policy (unless otherwise noted for a particular item) allows returns or exchanges within a certain number of days (e.g., 30 days) of delivery, provided the item is in new, unused condition. To initiate a return or cancellation of a product purchase, follow the instructions on our website or contact our customer support. You may be responsible for return shipping costs unless the return is due to an error on our part (such as a defective or incorrect item). Refunds for returned products, if approved, will be issued to your original payment method.
• Event and Camp Registrations: For program or camp fees (such as the Oselo NASA STEM Camp or other experiences), we allow cancellations and refunds based on specific conditions stated at the time of registration. For example, a portion of the fee may be designated as a non-refundable deposit to secure your spot. This deposit (e.g., 40% of the total fee) is not refundable if you decide to cancel, because it covers upfront costs and holds your reservation. The remaining balance may be refundable if you cancel within a certain deadline (for instance, cancelling a camp booking a certain number of days/weeks before the start date). The exact cancellation deadlines and refund amounts for each program will be communicated to you in the program details or confirmation materials. Please refer to those specific terms when you sign up. If Oselo or the camp organizer cancels the event (for reasons such as low enrollment, safety concerns, or force majeure), you will receive a full refund of any fees paid, including deposits.
• Donations: Donations are generally considered final and non-refundable, as they are charitable contributions. However, if you believe a mistake has occurred (for example, you donated the wrong amount, made a duplicate donation, or have another valid reason), please contact us as soon as possible. We will review refund requests for donations on a case-by-case basis, and may grant a refund in our discretion for exceptional cases (such as accidental duplicate donations or other errors). Recurring donations can be canceled prospectively (stopping future charges) at any time, but we typically do not refund donations that have already been processed.
• Digital Goods or Downloads: (If applicable) If our Services offer digital content (such as e-books, PDFs, or online courses), all sales of digital products may be final once the content is accessed or downloaded. We will note on the product page if a digital item is non-refundable. If you have trouble accessing a digital product or find a file to be corrupt, contact us for assistance or a replacement.
• How to Request a Refund/Cancellation: To request a refund or cancel a service, please follow the instructions provided in your order confirmation email or on our website’s support page. Typically, you can reach us via our contact form or email at [email protected] to initiate the process. Please include your order details or donation receipt information and the reason for your request. We will process eligible refunds as soon as practicable. Approved refunds will be credited back to the original payment method used; note that it may take several business days for the refund to appear on your account depending on your bank or credit card provider.
This Refunds and Cancellations Policy is intended to align with what is stipulated on our website for each service or product. In the event of any conflict between this general policy and specific terms provided at the point of purchase or registration, the specific terms for that product/event will govern (for example, a particular camp might have its own cancellation policy that differs slightly, and that specific policy would apply to that camp). If you have any questions about whether you are eligible for a refund or how to cancel, please contact us before taking action – we’re here to help clarify.
(Note: Nothing in this policy affects your statutory rights. If applicable law in your jurisdiction provides you with cancellation or refund rights beyond what is stated here (for example, certain consumer rights to cancel within 14 days for online purchases in the EU or UK), we will honor the applicable laws.)
Dispute Resolution (Arbitration)
We at Oselo Help Corp hope to resolve any issues or disagreements in a friendly and efficient manner. If you have a concern or dispute about our Services, we encourage you to contact us first and attempt to resolve the issue informally. Our support team will do their best to address your concerns through communication.
However, if we cannot reach an amicable solution, you and Oselo agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration on an individual basis. This means that instead of suing in court, both you and Oselo are agreeing to settle disputes through a neutral arbitrator. By agreeing to arbitration, you are waiving your right to a trial by judge or jury and your right to participate in a class action or representative proceeding.
Key points about the arbitration process:
• Governing Rules: The arbitration will be administered by a recognized arbitration organization, such as the American Arbitration Association (AAA), under its Consumer Arbitration Rules, or another comparable set of rules mutually agreed upon. The arbitration will be conducted in English.
• Location: The arbitration hearing can be held in a location mutually agreed upon by you and Oselo. If we cannot agree, the default location will be in or near Maryland, USA (which is where Oselo Help Corp is based), unless the arbitrator decides that an alternative location is more appropriate given the circumstances of the parties. For users outside the area, arrangements can be made to conduct proceedings via telephone, video conference, or submission of written documents, as appropriate and permitted by the arbitrator’s rules.
• Individual Basis Only: The arbitration will be solely between you and Oselo. No class actions or group arbitrations are permitted under this agreement. The arbitrator may not consolidate the claims of multiple parties and may not otherwise preside over any form of a representative or class proceeding. Each party agrees to arbitrate individually.
• Exceptions: Notwithstanding the above, either party may choose to bring an individual claim in small claims court if the claim is within that court’s jurisdiction and pending only in that court. Also, either party retains the right to seek injunctive or equitable relief in a court of law for matters relating to intellectual property infringement or unauthorized use of intellectual property (for example, misuse of Oselo’s trademarks or violation of our intellectual property rights, as those might require immediate court action to prevent ongoing harm). Such requests for injunctive relief will not be considered a waiver of the obligation to arbitrate other disputes under these Terms.
• Arbitration Decision: The arbitrator will have the authority to award any relief that a court could, including monetary damages and injunctive relief, on an individual basis. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction. The arbitrator will provide a written statement of the decision and the reasoning if required by the rules or requested by either party.
• Arbitration Costs: Each party will bear their own arbitration fees and costs, but if there are any initial filing or administrative fees required to initiate arbitration, Oselo will contribute up to an equal share of those fees (or more if required by the arbitration rules or applicable law) to ensure the cost of arbitration is not prohibitively expensive for the user. In some cases, the arbitrator may decide that the losing party should reimburse the prevailing party for certain expenses, but only if such allocation of fees is permitted by law and the arbitration rules.
By agreeing to these Terms, you explicitly acknowledge that arbitration is the required and preferred method of resolving disputes (with only the limited exceptions noted above). If you wish to opt out of this arbitration agreement (for example, if these Terms are presented to you and you do not agree to arbitrate), you must cease using the Services. Some jurisdictions do not allow mandatory arbitration in consumer contracts, so the above arbitration clause may not apply to you if disallowed by law – in that case, the dispute resolution will default to the courts of competent jurisdiction as outlined in Governing Law and Jurisdiction below, but you still waive any right to jury trial and class action to the extent permitted.
Termination of Use
Oselo Help Corp reserves the right to suspend or terminate your access to the Services (including your user account, if you have one) at our sole discretion, under the following circumstances:
• Violation of Terms: If you violate any provision of these Terms of Service or any other policy that is applicable to you (such as a camp code of conduct or our privacy policy), we may take action including temporary suspension of your account, removal of offending content, or permanent termination of your account and access. For example, engaging in fraudulent transactions, harassing other participants, misusing our intellectual property, or violating age restrictions can result in termination.
• Illegal or Harmful Behavior: If we have reason to believe that your use of the Services is unlawful, unethical, or poses a security, legal, or reputational risk to us or our users (for instance, if you are suspected of hacking, fraud, or posting dangerous content), we may terminate or restrict your access immediately and without prior notice.
• Discontinuation of Services: We also reserve the right to terminate or discontinue any part of the Services, or your account, for business reasons. This could include situations such as our decision to shut down the website or a particular program, a merger or acquisition that affects service offerings, or unexpected technical issues or disruptions. In such cases, we will attempt to provide reasonable notice to users when feasible (for example, an email notification or a notice on our site).
If your account or access is terminated or suspended, you will lose access to any areas of the Service that require login. In the event of termination, your right to use the Services will cease immediately, but the Terms will continue to applyin certain sections that survive termination (such as Intellectual Property, Disclaimers & Limitation of Liability, Dispute Resolution, and Other Terms). If we terminate your account due to a breach of the Terms, we may refuse to allow you to register for the Services again in the future.
You are free to stop using our Services at any time. If you wish to delete your account (if one exists) or unsubscribe from our communications, you may do so by contacting us or using any self-service account deletion feature provided. Termination by you or us will not affect any rights or obligations that have accrued prior to the effective date of termination (for example, we will still pay out any valid refunds owed, and you will still be responsible for any unpaid fees or any damages arising from a breach before termination).
We are not liable to you or any third-party for termination of your access in accordance with these Terms. If you believe your account was suspended or terminated in error, or if you have questions about a termination, please contact us. We may, in our discretion, provide a warning or explanation, but are not obligated to do so.
Indemnification
You agree to indemnify and hold harmless Oselo Help Corp, its affiliates, officers, directors, employees, volunteers, and agents (the “Oselo Parties”) from and against any and all losses, liabilities, claims, demands, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services; (b) your breach of these Terms or violation of any applicable law or regulation; or (c) your infringement of any intellectual property or other right of any person or entity.
In plain language, this means you will be responsible for any harm or loss we suffer as a result of your actions that violate the law or these Terms. For example, if you were to use our website to conduct fraudulent activities or if you unlawfully use someone else’s content through our platform and it causes us to face a legal claim, you agree to cover the costs that result (including our legal fees and any damages).
We will promptly notify you of any such claim and cooperate with you, at your expense, in defending it. You have the right to defend and settle the claim, provided you do so in a manner that does not impose liability or obligations on Oselo without our prior written consent. Oselo reserves the right to assume exclusive defense and control of any matter subject to indemnification by you (at our own expense), and you agree to cooperate with our defense of that claim. This indemnification obligation will survive the termination of your use of the Services or the termination of these Terms.
Disclaimers and Limitation of Liability
Disclaimers of Warranties: Oselo Help Corp provides the Services on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties and representations of any kind, whether express, implied, or statutory, with respect to the Services. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or usage of trade. We do not guarantee that:
• The Services (including our website and any content or materials therein) will always be available, error-free, or uninterrupted. We may experience hardware, software, or other technical issues or need to perform maintenance on the site that could result in outages or errors. You accept that occasional downtime or errors can occur.
• The information on the site (such as product descriptions, camp schedules, dates, prices, or other details) is accurate, complete, or current at all times. While we strive to correct any errors or omissions as soon as we become aware of them, we cannot warrant that all content is free of mistakes. You should verify critical information (like camp dates or availability) directly with us if needed.
• The Services will be secure or free of viruses or other harmful components. We take security seriously and implement reasonable measures to protect our site and users, but no website can be 100% secure. You are responsible for using up-to-date security software on your own devices and exercising caution when downloading materials.
• Third-Party Services or content accessible through our platform will meet any quality or suitability standards. For example, our site may include links to third-party websites (such as payment processors or partner organizations) or information about external camps and programs we don’t wholly operate. Such third-party services are outside of our control, and we make no warranties or endorsements regarding them. Participation in any third-party camp or use of any third-party service is at your own risk and subject to that third party’s terms and policies. Oselo is not responsible for the actions, content, or services provided by any third parties, even if we facilitate or promote their offerings.
Limitation of Liability: To the maximum extent permitted by applicable law, Oselo Help Corp and the Oselo Parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Services, or any content or services obtained through the site. This limitation covers damages of all kinds, including but not limited to, personal injuries, pain and suffering, emotional distress, loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses. It applies whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
In particular, Oselo will not be liable for:
• Any injury, accident, or harm that may occur to you or your property during your participation in an external camp or program that we promoted (for example, during travel to a space camp or while at a third-party facility). While we endeavor to partner with reputable organizations and prioritize safety, those activities inherently carry risks and are managed by entities beyond our direct control. You should ensure you understand and agree to any waivers or safety rules provided by the camp organizers, and obtain appropriate insurance if needed.
• Any issues with third-party transactions or relationships. For instance, if you donate through a third-party platform or payment processor we utilize, and there is a dispute or error on their end, our liability is limited. Similarly, if you follow a link on our site to another website and suffer a loss or damage through that site, we are not responsible.
• Service outages or data loss. If our site becomes unavailable or your data gets lost or corrupted (for example, due to a server failure or cyber attack), we will try to assist in recovery where possible, but we are not liable for losses that result from such technical issues beyond our reasonable control.
Overall, Oselo’s total liability to you for any claim arising out of or relating to the Services is limited to the amount you paid us, if any, for the specific service or product in question in the 12 months preceding the claim(or USD $100 if you have not paid us anything). For example, if you paid $200 for a camp enrollment and a dispute arises related to that camp, our maximum liability would be up to $200 for that claim. This cap on liability applies in aggregate to all claims of a similar nature; it is not per incident.
Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If laws that apply to you do not allow the limitations of liability as written in these Terms, those limitations will apply to you only to the extent permitted. In particular, nothing in these Terms is intended to exclude or limit liability that cannot be limited by law – for example, liability for gross negligence, willful misconduct, or for personal injury or death caused by our negligence may not be limited in some jurisdictions. Likewise, the above exclusions may not apply to you if you are in a jurisdiction that does not permit exclusion of implied warranties.
You acknowledge and agree that the disclaimers and limitations of liability in this section are an essential basis of the bargain between you and Oselo. Without these limitations, we would not be able to offer our Services to you, or we would have to charge significantly more. This section will survive any termination or expiration of these Terms.
Intellectual Property Rights
All content and materials available on oselohelp.com and provided through our Services are the intellectual propertyof Oselo Help Corp or are used under appropriate licenses. This includes (but is not limited to) the text, images, graphics, logos, designs, videos, software code, and overall look-and-feel of the website, as well as the names and trademarks associated with our products and programs. These works are protected by copyright, trademark, and other intellectual property laws worldwide.
Our Trademarks and Brands: Oselo Help Corp, Oselo NASA STEM Camp, Space Wear, and other logos, slogans, or names of our services or programs are trademarks or service marks owned by Oselo Help Corp (or its affiliates/partners). In particular, the “Space Wear” brand and logo are proprietary marks of Oselo. Unauthorized use of the Space Wear brand and logo is strictly prohibited worldwide. This means you may not use “Space Wear” or any confusingly similar name, logo, or branding in any manner (including in advertising, merchandise, domain names, or social media) without our express prior written consent. We actively enforce our intellectual property rights globally, and any infringement may result in legal action against the infringer in the appropriate jurisdiction.
Permitted Use of Our Content: Oselo grants you a limited, revocable, non-exclusive, non-transferable license to access and use our website and content for your personal, non-commercial use in accordance with these Terms. For example, you may view program information, download or print pages for personal reference, or share our public-facing content for non-commercial educational purposes (such as a social media post highlighting a camp, provided you attribute it to Oselo). However, this limited license does not give you ownership of any content, and it does not allowyou to:
• Copy, reproduce, or distribute any site content for commercial purposes without permission.
• Modify or create derivative works of our content.
• Use any of our trademarks, logos, or brand names (including “Oselo” and “Space Wear”) in a way that suggests endorsement or association without approval.
• Extract or data-mine information from our website in an automated way (e.g., using bots or scrapers) not authorized by us.
If you want to request permission to use any content or trademark of Oselo beyond what is allowed by these Terms (for example, for press inquiries, academic research, or commercial licensing), please contact us with details of your request. We appreciate the enthusiasm but need to ensure our intellectual property is used appropriately.
Your Intellectual Property: If you submit or post any content to us (for instance, testimonials, photos from a camp, or suggestions), you retain ownership of your content. However, by submitting such content, you grant Oselo a worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute that content for the purpose of operating, promoting, or improving our Services. We will respect the privacy settings and choices you make (for example, we won’t publish your name or photos without permission if you provided them privately). Please only provide content that you have the right to share and that does not infringe on others’ rights.
All rights not expressly granted to you in these Terms are reserved by Oselo and its licensors. Misuse of our intellectual property is a serious violation of these Terms and may result in immediate termination of your use of the Services (and further legal consequences).
Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or related to them or the use of the Services are governed by the laws of the State of Maryland, USA, without regard to its conflict of laws principles. By using the Services, you agree that the laws of Maryland will govern all matters relating to your access to or use of our platform.
Furthermore, to the extent any legal action is permitted outside of the arbitration agreement in these Terms (for example, if you opt out of arbitration where allowed, or to enforce an arbitration award, or for injunctive relief as noted in the Dispute Resolution section), you agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Maryland. You also waive any objections to the venue of those courts on the grounds of inconvenience or other jurisdictional arguments, to the extent permitted by law. This means that if a court proceeding does occur between you and Oselo (in rare exceptions to our arbitration agreement), it will take place in Maryland under Maryland law.
If you are accessing or using the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. Please note that regardless of what laws apply, you are still agreeing to the Dispute Resolution (Arbitration) section above for resolving disputes, which in most cases will prevent the need for court involvement.
Other Terms
Entire Agreement: These Terms (along with any other legal notices or policies explicitly incorporated by reference, such as our Privacy Policy or any program-specific terms) constitute the entire agreement between you and Oselo Help Corp regarding your use of the Services. They supersede any prior agreements, understandings, or communications (whether oral or written) about the same subject matter. Any additional or different terms you seek to impose (for example, on a purchase order or through correspondence) shall not be binding on Oselo unless we expressly agree in writing.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remainder of the Terms will continue in full force and effect. In other words, the invalid part will be severed from the Terms, but this will not affect the validity and enforceability of the rest of the provisions.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
